Terms of Service

These terms govern your use of Decaf services, websites, APIs, and mobile applications.

1. Services Overview

Decaf provides: • A non-custodial digital asset wallet (“Wallet Services”) • Messaging-based financial interfaces, including WhatsApp (“Messaging Services”) • AI-assisted financial automation features (“AI Services”) • Access to a Visa card program (“Card Services”) • Wallet integration for programs facilitated through the Stellar Disbursement Platform (“SDP”) • Related website and software services (collectively, the “Services”). Decaf is not a bank and does not offer deposit accounts.

2. Eligibility

You must: • Be at least 18 years old • Have legal capacity to enter into binding contracts • Not be subject to sanctions or located in a prohibited jurisdiction We may restrict or deny access as required by law.

3. Wallet Services (Non-Custodial)

The Decaf Wallet is designed to be non-custodial. You are solely responsible for: • Safeguarding your authentication credentials • Reviewing and authorizing transactions • Understanding the risks of blockchain transactions Decaf does not: • Hold or control your private keys (for non-custodial Wallet Services) • Reverse blockchain transactions • Guarantee transaction confirmation • Recover lost credentials Transactions broadcast to public blockchains are irreversible. Wallet transactions may occur on public blockchain networks including: • Stellar Development Foundation (Stellar Network) • Solana Labs (Solana Network)

4. Messaging Services

Messaging Services allow you to initiate financial actions via supported messaging platforms, including WhatsApp. By using Messaging Services: • You authorize Decaf to process financial instructions submitted through chat interfaces. • You acknowledge messaging platforms are operated by third parties, including Meta Platforms. • Your use of messaging platforms is governed by their respective terms and privacy policies. Decaf is not responsible for outages or security incidents originating from third-party messaging platforms.

5. AI Services

AI Services may be used to: • Interpret conversational financial instructions • Facilitate automated assistance • Detect fraud and suspicious activity • Support compliance monitoring AI-generated outputs may occasionally contain inaccuracies. You are responsible for reviewing transaction confirmations before finalizing payments. You may request human review of certain automated decisions where required by applicable law. Decaf does not use personal data to train publicly available AI models.

6. Third-Party Infrastructure Providers

Certain Messaging Services and AI Services rely on third-party infrastructure providers, including Crossmint, to support non-custodial wallet functionality, orchestration, and related technical operations. These providers operate under contractual arrangements with Decaf. Your use of messaging platforms may also be subject to the terms and policies of those platforms. Decaf remains responsible for the user-facing Services, subject to the limitations set forth in these Terms.

7. Card Services

Card Services are provided in partnership with a licensed card issuer and payment network. Card transactions may involve networks such as Visa Inc.. Cardholders are subject to: • The applicable Cardholder Agreement • Issuer terms and conditions • Applicable regulatory requirements Decaf is not the issuing bank.

8. Stellar Disbursement Platform (SDP)

Decaf may facilitate wallet access for programs implemented through the Stellar Development Foundation Stellar Disbursement Platform (“SDP”). When facilitating such programs: • The sponsoring organization determines eligibility and program rules. • Decaf may act as wallet provider or technical integration partner. • Decaf is not responsible for the sponsoring organization’s program decisions. • Participation may require additional verification and compliance checks.

9. Compliance & Identity Verification

To comply with applicable laws, including anti-money laundering regulations, Decaf may: • Verify your identity • Conduct sanctions screening • Monitor transactions • Restrict or suspend access Failure to provide required information may result in suspension.

10. Fees

You agree to pay applicable fees disclosed within the Services, including: • Network transaction fees • Card program fees • FX conversion fees • Disbursement-related fees Fees may change with notice.

11. Prohibited Activities

You may not use the Services to: • Violate applicable laws or sanctions • Engage in fraud or deception • Circumvent compliance mechanisms • Interfere with system security • Exploit vulnerabilities We may suspend or terminate accounts for violations.

12. Risks of Digital Assets

Digital assets are volatile and may lose value. You acknowledge: • Blockchain transactions are irreversible • Regulatory treatment may change • Smart contract risks exist • Market risk is significant Decaf does not provide investment advice.

13. No Financial Advice

Information provided through Wallet, Messaging, or AI Services does not constitute: • Investment advice • Legal advice • Tax advice • Financial advisory services You are solely responsible for your decisions.

14. Intellectual Property

All software, branding, and content are owned by Decaf or its licensors. You may not: • Reverse engineer • Copy proprietary software • Use trademarks without authorization

15. Limitation of Liability

To the maximum extent permitted by law, Decaf shall not be liable for: • Loss of digital assets due to user error • Blockchain network failures • Messaging platform outages • AI-generated inaccuracies • Third-party infrastructure disruptions • Market volatility Our aggregate liability shall not exceed the greater of: • Fees paid to Decaf in the preceding 12 months, or • $100 USD

16. Indemnification

You agree to indemnify Decaf against claims arising from: • Your misuse of Services • Violation of law • Breach of these Terms

17. Suspension & Termination

We may suspend or terminate your access: • For compliance reasons • For suspected fraud • If required by regulators • For violation of these Terms You may close your account subject to regulatory retention requirements.

18. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Disputes shall be resolved in Delaware courts unless otherwise required by applicable law.

19. Changes to Terms

We may update these Terms periodically. Continued use of Services after updates constitutes acceptance.
